These Terms of Service ("Terms") govern your access to and use of SalesDash, including the SalesDash website, software, dashboards, applications, APIs, reports, tools, and related services (collectively, the "Services").
SalesDash is provided by Pexium, LLC ("Pexium," "SalesDash," "we," "us," or "our").
By creating an account, connecting an Amazon account or other third-party account, purchasing or using the Services, or otherwise accessing SalesDash, you agree to these Terms.
If you are using SalesDash on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" include that organization.
If you do not agree to these Terms, do not use the Services.
1. SalesDash Services
SalesDash provides software and analytics tools for businesses selling products through Amazon and other supported marketplaces and platforms.
Depending on your subscription and connected accounts, SalesDash may provide services including:
- Sales and order reporting
- Inventory reporting and forecasting
- Financial and profitability analysis
- Advertising reporting and management
- Buy Box monitoring and analysis
- Repricing
- Detecting issues with your Listings
- Product and SKU performance reporting
- Dashboards and business analytics
- Data management and reporting tools
- Other features made available through SalesDash
We may add, change, improve, or discontinue features from time to time.
2. Eligibility and Authority
You may use SalesDash only if you are legally capable of entering into a binding agreement.
If you connect an Amazon Selling Partner, Vendor, advertising, or other third-party account to SalesDash, you represent that you own the account or have permission from the account owner to authorize SalesDash to access it.
You are responsible for making sure that the people you authorize to use your SalesDash account have appropriate authority to do so.
3. Your Account
You are responsible for:
- Providing accurate account information.
- Keeping your account information current.
- Protecting your username, password, and other credentials.
- Maintaining appropriate security over your SalesDash account.
- Controlling the users who have access to your account.
- Promptly notifying us if you believe your account has been compromised.
You may not share individual user credentials with unauthorized users.
You are responsible for activity performed through your account by users you authorize.
4. Third-Party Account Authorization
Certain SalesDash features require you to authorize SalesDash to access information from Amazon or another third-party service.
By connecting an account, you authorize SalesDash to retrieve, process, store, and use information from that account as necessary to provide the Services you request.
You may revoke an authorization through the applicable third-party service.
Revoking an authorization may prevent some or all SalesDash features from working.
SalesDash is not responsible for interruptions caused by expired, revoked, changed, suspended, or otherwise unavailable third-party authorizations.
5. Amazon Accounts
SalesDash uses authorized Amazon services to provide certain features.
If you connect an Amazon account to SalesDash, you authorize us to access and process information made available to SalesDash through the permissions you grant.
You remain responsible for your Amazon account and for complying with the agreements and policies that apply to your relationship with Amazon.
SalesDash is an independent service and is not Amazon.
Amazon may change its APIs, data availability, permissions, policies, technical requirements, or other services at any time. These changes may affect SalesDash functionality or the information available through SalesDash.
We are not responsible for Amazon's systems, decisions, outages, enforcement actions, API changes, data errors, account suspensions, or other actions outside our control.
6. Compliance With Amazon Agreements and Policies
You may not use SalesDash to violate or circumvent any applicable Amazon Selling Partner Agreement, Vendor Agreement, Amazon policy, or other agreement governing your use of Amazon.
You may not use SalesDash to:
- Circumvent an Amazon account restriction, suspension, or enforcement action.
- Circumvent Amazon security or technical controls.
- Access Amazon Information you are not authorized to access.
- Misrepresent products, transactions, customers, sellers, or business activity.
- Evade Amazon policies or enforcement mechanisms.
- Assist another person or business in violating Amazon requirements.
If we reasonably believe your use of SalesDash may violate Amazon requirements or place SalesDash's access to Amazon services or information at risk, we may restrict or suspend the affected functionality or your account while the matter is investigated.
7. Brushing, Fake Reviews, and Marketplace Manipulation
SalesDash may not be used to conduct or facilitate brushing, fake orders, fake reviews, review manipulation, or other artificial marketplace activity.
You may not use SalesDash to:
- Create or facilitate fake or fraudulent orders.
- Place orders for the purpose of artificially increasing sales or sales rank.
- Send unsolicited merchandise as part of a brushing scheme.
- Generate fake reviews or ratings.
- Improperly compensate or incentivize customers for reviews.
- Manipulate ratings, rankings, sales history, Buy Box performance, or marketplace metrics.
- Create false customer activity.
- Conceal or facilitate marketplace manipulation by another person or business.
We may suspend or terminate access if we reasonably believe SalesDash is being used for prohibited marketplace activity.
8. Intellectual Property and Infringement
You are responsible for ensuring that products, listings, images, text, trademarks, brands, product information, and other content you use in connection with your business do not violate the intellectual property rights of another party.
You may not use SalesDash to knowingly infringe or facilitate infringement of copyrights, trademarks, patents, trade secrets, or other intellectual property rights.
You may not use SalesDash to:
- Copy or distribute copyrighted material without appropriate authorization.
- Misuse another party's trademarks or branding.
- Facilitate listings that you know infringe another party's intellectual property rights.
- Obtain, disclose, or misuse another party's trade secrets or confidential information.
- Circumvent intellectual property protections.
If we receive a credible complaint that SalesDash is being used to facilitate infringement, we may investigate and restrict the affected activity while the matter is reviewed.
9. Other Prohibited Uses
You may not use the Services to:
- Violate applicable law.
- Commit or facilitate fraud.
- Access another customer's account or data without authorization.
- Attempt to gain unauthorized access to SalesDash systems.
- Probe, scan, or test our systems for vulnerabilities without our written authorization.
- Interfere with or disrupt the Services.
- Introduce malicious software or code.
- Circumvent security controls.
- Obtain SalesDash credentials belonging to another user.
- Scrape or systematically extract information from SalesDash except through functionality we provide or authorize.
- Reverse engineer or attempt to obtain SalesDash source code except where such restrictions are prohibited by law.
- Resell, sublicense, or provide the Services to unauthorized third parties unless we have agreed otherwise in writing.
- Use SalesDash to develop or assist in developing a competing service through unauthorized copying or extraction of SalesDash functionality, data structures, reports, or proprietary information.
- Use another customer's data for your own benefit.
- Use the Services in a way that could damage SalesDash, Pexium, our customers, Amazon, or our service providers.
10. Customer Data
"Customer Data" means information you provide to SalesDash or authorize SalesDash to obtain on your behalf in connection with the Services.
Data shared with SalesDash is also shared with Pexium, which will only be used in connection with the Services, you retain the rights to all of your customer data
You grant Pexium the rights necessary to host, process, transmit, analyze, display, and otherwise use Customer Data to provide, maintain, secure, support, and improve the Services, subject to applicable contractual, privacy, and Amazon requirements.
We do not acquire ownership of your business data merely because you use SalesDash.
11. Amazon Information
Amazon Information obtained through Amazon services is handled in accordance with applicable Amazon requirements and our policies and procedures.
We use Amazon Information to provide authorized SalesDash services and for legitimate security, support, operational, and compliance purposes related to those services.
We do not sell Amazon Information.
We do not use one customer's non-public Amazon Information for the benefit of another customer.
12. Data Retention and Account Disconnection
SalesDash retains information as necessary to provide the Services and in accordance with applicable contractual, legal, security, and Amazon requirements.
If you disconnect or revoke SalesDash's authorization to access a third-party account, our ability to obtain new information from that account may stop immediately.
Information already received by SalesDash will be retained or deleted according to applicable retention requirements and our data retention and deletion procedures.
Some information may remain temporarily in backups, logs, or other systems where permitted or required for security, legal, operational, or compliance purposes.
13. Security
We maintain administrative, technical, and organizational safeguards designed to protect information processed through SalesDash.
No internet-based system can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security for your own systems, users, credentials, devices, and connected accounts.
If you become aware of unauthorized access to your SalesDash account, you must notify us promptly.
14. Confidentiality
Each party may receive confidential or proprietary information belonging to the other party.
Confidential information may include business information, financial information, product information, customer information, technical information, software, pricing, processes, and other information that reasonably should be considered confidential.
Each party agrees to use the other party's confidential information only as necessary for the relationship and to take reasonable measures to protect it from unauthorized disclosure.
Confidentiality obligations do not apply to information that:
- Is publicly available through no violation of these Terms.
- Was lawfully known without a confidentiality obligation.
- Is received lawfully from another source without a confidentiality obligation.
- Is independently developed without use of the other party's confidential information.
- Must be disclosed by law or valid legal process.
15. SalesDash Intellectual Property
SalesDash and its software, source code, interfaces, designs, dashboards, reports, databases, documentation, trademarks, logos, processes, and other proprietary materials are owned by Pexium or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the Services under these Terms, no ownership rights in SalesDash are transferred to you.
You may not copy, reproduce, distribute, sell, license, reverse engineer, or create derivative works from SalesDash except as expressly authorized by us or permitted by applicable law.
16. Feedback
If you provide suggestions or feedback about SalesDash, you permit us to use that feedback to develop and improve the Services without an obligation to compensate you.
This does not give us ownership of your Customer Data or confidential business information.
17. Subscription Fees and Payment
Paid Services are subject to the pricing and payment terms agreed to when you subscribe, order Services, or enter into a separate agreement with Pexium.
You agree to pay applicable fees and taxes.
Unless otherwise stated in your order or agreement, fees are due according to the billing terms provided to you.
Past-due accounts may be suspended until payment is received.
If you have a separate written agreement, order form, or statement of work with Pexium that contains different payment terms, that agreement controls for those terms.
18. Changes to Services and Pricing
We may modify the Services from time to time as our software, technology, data sources, and third-party integrations change.
We may also change pricing for future subscription periods by providing reasonable notice where required.
Changes to Amazon APIs, permissions, reports, data fields, or other third-party services may require us to modify or discontinue affected SalesDash features.
19. Suspension
We may suspend or restrict access to some or all of the Services if:
- Your account is past due.
- We reasonably believe your account has been compromised.
- Your use creates a security risk.
- Your use violates these Terms.
- Your use may violate applicable law.
- Your use may violate Amazon requirements.
- Your use may threaten SalesDash's ability to maintain access to Amazon APIs or other third-party services.
- Suspension is necessary to protect SalesDash, our customers, Amazon, or another party.
- A third-party service provider requires us to suspend the affected access.
When practical and appropriate, we will attempt to work with you to resolve the issue.
20. Termination
You may stop using SalesDash subject to the subscription, cancellation, and payment terms applicable to your account.
We may terminate your access for a material violation of these Terms, nonpayment, unlawful activity, prohibited marketplace activity, security threats, or conduct that places SalesDash or our access to third-party services at material risk.
Sections that by their nature should continue after termination will survive, including provisions concerning confidentiality, intellectual property, payment obligations, disclaimers, limitations of liability, and indemnification.
21. Third-Party Services
SalesDash depends on services provided by third parties, including Amazon and cloud, communications, and technology providers.
We do not control those services.
We are not responsible for outages, delays, data changes, API changes, errors, restrictions, or discontinuation of third-party services outside our reasonable control.
Your use of third-party services may also be subject to agreements directly between you and those providers.
22. Data and Analytics Disclaimer
SalesDash receives and processes information from Amazon and other sources.
We work to provide accurate and useful information, but we cannot guarantee that all source data is complete, current, or error-free.
Reports, forecasts, profitability calculations, inventory recommendations, advertising information, and other analytics are provided as business tools and should be reviewed by you before making material business decisions.
You remain responsible for decisions concerning your products, inventory, pricing, advertising, accounting, taxes, and Amazon account.
23. No Guarantee of Amazon Results
SalesDash does not guarantee:
- Increased sales.
- Increased profits.
- Buy Box ownership.
- Search ranking.
- Advertising performance.
- Inventory availability.
- Amazon account status.
- Amazon approval of listings or products.
- Prevention of Amazon enforcement actions.
Amazon controls its marketplace and makes its own decisions concerning sellers, vendors, products, listings, advertising, and accounts.
24. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
PEXIUM DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY ARISE BY LAW, COURSE OF DEALING, OR USAGE OF TRADE, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY ERROR WILL BE CORRECTED.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEXIUM AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEXIUM'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO PEXIUM FOR THE AFFECTED SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations in this section apply to the extent permitted by applicable law.
26. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pexium and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:
- Your violation of these Terms.
- Your unlawful use of the Services.
- Your violation of an applicable Amazon agreement or policy.
- Brushing, review manipulation, fraudulent activity, or marketplace manipulation conducted or facilitated through your account.
- Products, listings, content, images, trademarks, or other materials supplied or controlled by you that infringe another party's rights.
- Your violation of another person's intellectual property or other legal rights.
27. Changes to These Terms
We may update these Terms as our Services, legal requirements, or third-party requirements change.
When we make material changes, we will update the effective date and provide notice when required by applicable law or our agreements.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
28. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles.
Any dispute arising from these Terms or the Services will be handled in accordance with any dispute-resolution provisions contained in your separate written agreement with Pexium, if applicable.
If there is no separate agreement governing the dispute, the parties agree that the state and federal courts having jurisdiction in Greenville County, South Carolina will have exclusive jurisdiction, and each party consents to venue and personal jurisdiction in those courts.
29. Separate Agreements
Some customers may have a separate subscription agreement, service agreement, order form, statement of work, data processing agreement, or other written agreement with Pexium.
If a separate written agreement expressly conflicts with these Terms, the separate written agreement controls to the extent of that conflict.
30. Entire Agreement
These Terms, together with any applicable order form, separate written agreement, Privacy Policy, and other terms expressly incorporated into them, constitute the agreement between you and Pexium concerning your use of the Services.
If any provision is found unenforceable, the remaining provisions will remain in effect.
Failure by Pexium to enforce a provision does not waive our right to enforce it later.
